Table of Contents
Thank you for your interest in Vault Women. These Terms of Purchase apply to purchases made from Jennifer Perri LLC, doing business through the Vault Women brand and VaultWomen.com.
Please review these Terms carefully before purchasing a membership, program, product, service, or other paid experience from Vault Women. By submitting payment, completing checkout, enrolling in a paid experience, or otherwise purchasing a Vault Women product or service, you acknowledge that you have had reasonable access to these Terms and agree to be bound by them.
In these Terms, “Company,” “we,” “us,” or “our” refers to Jennifer Perri LLC. “Purchaser,” “you,” or “your” refers to the customer.
Related Policies
These Terms of Purchase should be read together with our Privacy Policy and our Terms of Use. If any conflict exists between these Terms and a specific program agreement or signed contract for a particular purchase, the more specific signed or program agreement controls for that purchase.
Products and Services Covered
These Terms may apply to paid Vault Women offerings including, as applicable:
- The Vault
- Emerging
- Expanding
- memberships
- mastermind and group coaching experiences
- live trainings, workshops, and courses
- digital resources, templates, and assessments
- downloadable materials
- events
- future Vault Women products or services
We refer to these collectively as “Products and Services.” Not every listed offering may be currently available.
Program and Product Delivery
Delivery varies depending on the offer purchased. Purchasers receive the access, materials, sessions, community access, resources, or other components described on the applicable sales or checkout page at the time of purchase.
- For digital products, access may be provided electronically.
- For memberships or programs, access may be provided through a community platform, email, live calls, digital resources, or other systems used by Vault Women.
- For cohort-based experiences, start dates and schedules will be stated during enrollment.
- For presale or future offerings, delivery timing will be described at purchase.
Vault Women does not guarantee exact delivery dates beyond what has been expressly promised for a specific purchase.
Emerging
Emerging is a six-month Vault experience offered on a flexible enrollment basis. A member’s six-month participation period begins based on the enrollment and access date communicated during purchase and onboarding. The applicable price, payment method, and inclusions are those displayed at checkout at the time of purchase.
Expanding
Expanding is a curated, cohort-based six-month Vault experience. Enrollment may require an application or acceptance process. Cohort dates, capacity, pricing, payment options, and specific inclusions are communicated during enrollment.
Submitting a Priority List form does not constitute enrollment, acceptance, or purchase. A person becomes financially enrolled only after completing the applicable enrollment and payment process.
Six-Month Membership Commitments
Both Emerging and Expanding are marketed as six-month commitments. The specific financial obligation associated with selecting a monthly payment plan must be confirmed before publishing.
[LEGAL REVIEW REQUIRED — SIX-MONTH PAYMENT OBLIGATION]
This section must be confirmed by legal counsel before publishing. Do not publish with this placeholder unresolved.
The business must confirm whether the intended policy is:
- Option A: When selecting monthly payments, the purchaser is committing to all six monthly payments and remains responsible for the full six-month investment even if they stop participating early.
- Option B: Another cancellation or early termination policy applies.
Payment and Billing
By providing a payment method, the purchaser:
- represents that they are authorized to use it;
- authorizes Jennifer Perri LLC and its payment processor to charge the applicable fees; and
- agrees to the payment schedule selected at checkout.
Unless otherwise stated, all pricing is in U.S. dollars. Where a payment plan is selected, payments will be charged according to the schedule shown at checkout. Payment card information is processed by third-party payment processors and is not stored directly by Vault Women.
Failed or Late Payments
If a scheduled payment fails, Vault Women may attempt to process payment again, contact the purchaser, temporarily suspend program or community access, or take other reasonable steps permitted under the applicable purchase agreement and law.
Refund Policy
Unless otherwise expressly stated in writing on the applicable sales or checkout page, payments made for Vault Women memberships, programs, digital resources, events, or other Products and Services are non-refundable.
Because access, digital materials, community participation, coaching capacity, or cohort space may be provided or reserved upon enrollment, refunds are not provided simply because a purchaser changes their mind, does not fully participate, or chooses not to use available benefits.
Nothing in these Terms limits any refund or other consumer right that cannot legally be waived.
Cancellation
Cancellation of future communications or community participation does not automatically cancel an existing payment obligation. Any cancellation rights or continuing financial obligations are governed by the terms presented at checkout and these Terms of Purchase.
Chargebacks and Payment Disputes
Purchasers should contact connect@vaultwomen.com before initiating a payment dispute so Vault Women has an opportunity to address the issue.
Vault Women may provide relevant purchase records, acceptance of terms, access records, and communications to the payment processor or financial institution when responding to a dispute.
Promotions and Discounts
Vault Women may occasionally offer promotional pricing, founding-member pricing, discounts, bonuses, or limited-time offers. Promotions may have separate eligibility requirements, may expire, may be changed or discontinued, and generally cannot be retroactively applied to prior purchases unless expressly stated.
Educational Purposes Only
Vault Women content, coaching, community discussions, resources, and materials are provided for educational and informational purposes. They do not constitute legal, medical, mental health, financial, tax, investment, or other regulated professional advice. Purchasers remain responsible for their own decisions and implementation.
No Guarantees of Results
Purchasing or participating in Vault Women does not guarantee revenue, clients, business growth, career advancement, speaking opportunities, media coverage, partnerships, relationships, visibility results, personal transformation, or any specific financial or professional outcome.
Results vary based on many factors, including the purchaser’s circumstances, decisions, participation, and implementation.
Personal Use and Access
Purchased materials and program access are intended for the enrolled purchaser only unless otherwise expressly permitted. Members may not, without written permission:
- share login credentials;
- give non-members access to paid materials;
- copy or redistribute proprietary resources;
- resell materials;
- reproduce trainings;
- publish recordings; or
- distribute templates or proprietary content.
Intellectual Property
Jennifer Perri LLC and Vault Women retain applicable rights in The VAULT Framework™, trainings, curricula, worksheets, templates, videos, recordings, written materials, branding, and proprietary resources. Purchase or participation provides a limited personal-use license and does not transfer ownership.
Testimonials and Promotional Permission
Vault Women may invite members or participants to share testimonials, feedback, photos, or other promotional content. Vault Women will use identifiable testimonials, photos, or similar promotional submissions in accordance with the permission provided by the participant.
General participation in a program or community should not automatically be treated as consent to use someone’s image or testimonial for marketing.
Community Participation
Participation in Vault Women community spaces is expected to be respectful, professional, and consistent with applicable community guidelines. Vault Women reserves the right to restrict or remove access for conduct that materially disrupts the community, violates applicable policies, infringes intellectual property, threatens or harasses others, or creates safety or legal concerns.
Removal for misconduct does not automatically create a right to a refund.
Respecting the Room
Because Vault Women includes group coaching, mastermind conversations, networking, and community interaction, participants may hear personal or business information shared by other members. Participants are expected to respect the privacy and confidentiality of other participants and not reproduce or publicly share another member’s private information without permission.
Vault Women cannot guarantee that every participant will comply, so members should exercise judgment about what they choose to disclose.
Live Session Recordings
Certain live sessions may be recorded. Recordings may be made available to members, and participants will be informed where appropriate. Vault Women does not claim blanket consent to commercial use of a participant’s likeness.
Third-Party Platforms
Vault Women may use outside platforms for payments, community access, forms, email, video calls, course delivery, and scheduling. Use of those services may also be subject to their own terms and privacy practices. Vault Women is not responsible for third-party platform interruptions outside its reasonable control.
Website and Offer Information
Vault Women strives to maintain accurate information but may correct typographical errors, pricing errors, scheduling errors, outdated information, or availability information. Vault Women may update future Products and Services, pricing, schedules, and availability.
The Company may not retroactively change the material terms of an already completed purchase without limitation.
Suspension or Termination of Access
Vault Women may suspend or terminate access where reasonably necessary due to nonpayment, misuse, policy violations, unlawful activity, material disruption, or safety concerns. Existing payment obligations remain subject to the applicable purchase agreement and law.
Limitation of Liability
To the maximum extent permitted by applicable law, Jennifer Perri LLC is not responsible for indirect, incidental, special, consequential, or similar damages resulting from use of the Products and Services. Nothing in these Terms excludes liability that cannot legally be excluded.
Maximum Liability
To the maximum extent permitted by law, the Company’s total liability arising out of or relating to a Product or Service is generally limited to the amount paid for the applicable Product or Service giving rise to the claim.
Dispute Resolution
[LEGAL REVIEW REQUIRED — DISPUTE RESOLUTION / ARBITRATION]
This section must be confirmed by legal counsel before publishing. Do not publish with this placeholder unresolved.
The dispute resolution process, including whether arbitration is required, the applicable arbitration rules, venue, allocation of fees, applicable consumer-law requirements, and any required opt-out rights, must be confirmed by legal counsel before publishing.
Governing Law
[LEGAL REVIEW REQUIRED — GOVERNING LAW / STATE]
This section must be confirmed by legal counsel before publishing. Do not publish with this placeholder unresolved.
The governing jurisdiction should correspond to Jennifer Perri LLC and legal counsel’s recommendation.
Contact and Notices
Questions, purchase concerns, or notices may be sent to:
Jennifer Perri LLC
Vault Women
If formal written notices legally require a physical address, that requirement should be confirmed with legal counsel before publishing.
Force Majeure
Vault Women is not liable for delays or failures in performance caused by circumstances outside its reasonable control, which may include natural disasters, emergencies, government actions, widespread outages, cyber incidents, telecommunications failures, illness, or similar events. Vault Women may reschedule or reasonably modify delivery where circumstances outside its control affect performance.
Severability and Waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in effect. Failure by Vault Women to enforce any right or provision is not a waiver of that right or provision. Any waiver must be in writing where appropriate.
Assignment
Purchasers may not transfer or assign their membership, enrollment, or rights under these Terms without written permission from Vault Women.
Entire Agreement
These Terms, together with applicable checkout terms, program-specific agreements, the Privacy Policy, and the Terms of Use, constitute the applicable agreement regarding the purchase. If a signed agreement or offer-specific contract contains conflicting terms, the more specific signed or program agreement controls for that purchase.
Changes to These Terms
Vault Women may update these Terms prospectively. The current Last Updated date appears near the top of this page. Materially different payment terms cannot simply be imposed retroactively on completed purchases.
